Additional Rules Governing Content Posted by Users on the Web Site

The license you grant to Rabot LLC is non-exclusive (meaning you are free to license your Member Content to anyone else in addition to Rabot LLC), fully-paid and royalty-free (meaning that Rabot LLC is not required to pay you for the use of the Member Content that you post), sublicenseable (so that affiliates of Rabot LLC and subcontractors such as Internet content delivery networks are able to provide the Web Site), and worldwide (because the Internet and the Web Site are global in reach). Rabot LLC reserves the right to investigate and take appropriate legal action against anyone who, in the sole discretion of Rabot LLC, violates this provision, including without limitation, removing the offending communication from the Web Site and terminating the membership of such violators. criminal activity, including, but not limited to, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
any automated use of the system, such as using scripts to add friends or send comments or messages;
interfering with, disrupting, or creating an undue burden on the Web Site or the networks or services connected to the Web Site;
attempting to impersonate another user of the Web Site, another member, or any other person;
using the account, username, or password of another member at any time or disclosing your password to any third party or permitting any third party to access your account;
selling or otherwise transferring your profile, without permission from Rabot LLC;
using any information obtained from the Web Site in order to harass, abuse, or harm any person or entity; or

Pricing Policy

At www.shoprabot.com, our commitment is to offer convenience, service, and product availability on-line at compelling prices every day, with certain limited time offerings of merchandise at promotional prices. While merchandise offered on-line will usually be priced the same as merchandise offered at affiliate Rabot LLC stores or stores our merchandise is in, in some cases, Rabot LLC merchandise may have different prices or promotional events at different times.

Colors

We have done our best to display as accurately as possible the colors of the products shown on the Web Site. However, because the colors you see will depend on your monitor, we cannot guarantee that your monitor's display of any color will be accurate.

Correction of Errors & Inaccuracies

We endeavor to present the most recent, most accurate and most reliable information on the Web Site at all times. Typographical Errors

In the event a www.shoprabot.com or Rabot LLC catalog product is listed at an incorrect price due to typographical error or systems error, www.shoprabot.com shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. www.shoprabot.com shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged.

Term & Termination

Terms are applicable to you upon your accessing the Web Site and/or completing the registration or shopping process. These Terms, or any of them, may be terminated by Rabot LLC without notice at any time for any reason. Provisions relating to Copyrights, Trademark, and Miscellaneous, shall survive any termination.

Harassment in any manner or form on the Web Site, including via e-mail and/or chat, and any use of obscene or abusive language is strictly forbidden. Impersonation of others, including a Rabot LLC or other licensed employee, host, or representative as well as other users or visitors on the Web Site is prohibited. However, even if the third party is affiliated with Rabot LLC, Rabot LLC has no control over these linked sites, all of which have separate privacy, security, and data collection practices, independent of Rabot LLC. Rabôt has no responsibility or liability for these independent policies or actions and is not responsible for the privacy practices or the content of such Web Sites. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, Rabôt seeks to protect the integrity of its Web Site and the links placed upon it and therefore requests any feedback on not only its Web Site, but for Web Sites it links to as well (including if a specific link does not work).

Disputes between Users.

You are solely responsible for your interactions with other users of the Web Site. Rabôt reserves the right, but has no obligation, to monitor disputes between you and other users of the Web Site.

Special Admonitions for International Use of the Web Site.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and to provide only acceptable Member Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

Headings

The section titles in these Terms are for convenience only and have no legal or contractual effect.

Severability

If one or more of the provisions of these Terms are deemed unlawful, void or unenforceable, the remainder of these Terms shall be unaffected and shall continue to be fully valid, binding and enforceable.

Entire Understanding

These Terms constitute the entire agreement between you and Rabot LLC regarding the use of the Web Site.

Rabôt Arbitration Agreement

Mindful of the high cost of legal disputes, not only in dollars but also in time and energy, both you and Rabot LLC agree that any controversy, claim, action, or dispute in any way related to your use of any Rabot LLC website, any purchase from Rabot LLC, or to any products or services sold or distributed by Rabôt (“Dispute”) will be resolved by this dispute resolution procedure and arbitration agreement (“Arbitration Agreement”).

Informal Dispute Resolution. Either party asserting the Dispute shall first try in good faith to settle such Dispute by providing written notice to the other party (by first class or registered mail) describing the facts and circumstances (including any relevant documentation) of the Dispute and allowing the receiving party 30 days in which to respond to or settle the Dispute. Notice shall be sent

(1) to Rabot LLC at: Rabot LLC Legal Department, 3270 City Terrace Dr, Los Angeles, CA 90063, Attn: General Counsel, or

(2) to you at: your last-used billing address or the billing and/or shipping address in your online profile.

Both you and Rabot LLC agree that this dispute resolution procedure is a condition precedent which must be satisfied prior to initiating any arbitration or filing any claim against the other party.

Scope of Arbitration Agreement. To the extent you cannot resolve any Dispute through the informal dispute resolution procedure described above, a Dispute shall be resolved through binding individual arbitration. Accordingly, you and Rabot LLC agree to give up the right to go to court to assert or defend rights under this Arbitration Agreement and with respect to any Dispute (except small claims, as described below). You and Rabot LLC expressly delegate to the arbitrator the authority to determine the arbitrability of any Dispute, including the scope, applicability, validity, and enforceability of this Arbitration Agreement.

Right to Bring Small Claims in Court. Instead of arbitration, either you or Rabot LLC may bring any individual claim in small claims court consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual claim.

How Arbitration Works. Either party may initiate arbitration, which shall be conducted by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules (“AAA Rules”), as modified by this Arbitration Agreement. The AAA Rules are available on the AAA’s website www.adr.org, or by calling the AAA at (800) 778-7879. In the event the AAA is unavailable or unwilling to hear the Dispute, the parties shall agree to another arbitration provider. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s applicable rules. Rabot LLC will reimburse those fees in an amount up to $10,000. Rabot LLC also waives its own right to seek attorneys’ fees and costs in arbitration. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

Waiver of Right to Bring Class Actions and Representative Claims. All arbitrations shall proceed on an individual basis. The arbitrator is empowered to resolve the Dispute with the same remedies available in court, however, any relief must be individualized to you and shall not affect any other customer. You and Rabôt agree that each may bring claims against the other in arbitration only in your or their respective individual capacities and in so doing you and Free People hereby waive the right to a trial by jury, to assert or participate in a class action lawsuit or class action arbitration (either as a named-plaintiff or class member), and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular cause of action, then that cause of action (and only that cause of action) must remain in court and be severed from any arbitration. Other Terms. This Arbitration Agreement shall be governed by, and interpreted, construed, and enforced in accordance with the Federal Arbitration Act and, where applicable, the law of the Commonwealth of Pennsylvania. The terms of the Arbitration Agreement provisions shall survive after your relationship with Rabot LLC and/or use of our websites or other services and products ends. Except as set forth above, if any portion of this Arbitration Agreement is deemed invalid or unenforceable, it will not invalidate the remaining portions of the Arbitration Agreement.

California Transparency in Supply Chains Act

Rabot LLC and its affiliated companies (“Rabôt” or the “Company”) are committed to conducting business in a lawful, ethical and responsible manner. Moreover, the Company expects its manufacturing and market vendors (“Suppliers”) to share this same commitment. Accordingly, the Company has implemented certain controls and programs to verify that its Suppliers are meeting the Company’s expectations.

The Company’s Statement of Corporate Policy and Code of Conduct (the “Code of Conduct”), as well as other corporate policies and procedures, set forth the Company’s guiding principles that Suppliers must conduct business in a lawful, ethical and responsible manner. As a condition of doing business with Rabot LLC, each Supplier must agree to conduct its business in conformance with the Code of Conduct.

Certification

Under the Code of Conduct, Rabot LLC’s Suppliers certify that they will conduct business in compliance with the law, including, among other things, without child labor, without forced or compulsory labor, without corporal punishment, without discrimination and in compliance with wage and hour requirements, health and safety and environmental laws.

Verification

The Company maintains long-standing business relationships with a limited number of Suppliers which have been vetted through an internal screening process. One element of the screening process includes an internal assessment of the risk that the Supplier will not comply with the Code of Conduct, including the prohibition against human trafficking and slavery. The Company’s production, sourcing and compliance personnel visit manufacturing facilities to evaluate and address the risks of a Supplier’s noncompliance with the Code of Conduct.

Audits

The Company uses a qualified, accredited, third-party, social compliance auditing firm to conduct risk assessments and to audit manufacturing vendors which meet certain risk-related criteria. Audits and inspections of these vendors may be announced or unannounced and these vendors are required to cooperate in any remedial efforts to ensure future conformance.

Internal Accountability Standards

When non-conformance with the Code of Conduct is identified, Rabot LLC works with the Supplier to identify the cause of the non-compliance and to develop an action plan to assure future compliance. The Company believes that this strategy is in the best interest of the Supplier, its employees and the Company’s customers. Remedial efforts may also include additional audits or inspections. In the event of continued non-conformance or serious violations of the Code of Conduct, the Company reserves the right to terminate the business relationship with the Supplier.

Training

Rabot LLC’s production and sourcing personnel receive on-the-job training, are members of professional affiliations, and attend external training seminars to help further develop their ability to identify and evaluate risks in the supply chain.

SHIPPING

Domestic shipping will be shipped via USPS or UPS Priority Mail. A shipping confirmation with tracking will be sent after the order has been shipped. We are not responsible for items lost, damaged or stolen in the mail.

RETURNS

Please email us at hello@shoprabot.com to initiate a return. We do not offer exchanges as our garments are made of deadstock fabric with a low stock availability. Any full-price, unworn and unwashed items may be returned for refund within 7 days of receiving your order. The customer is responsible for return shipping costs. We are not liable for any lost or stolen merchandise incurred during return shipping and we therefore recommend providing tracking information with your shipment. Your account will be credited with your refund within 3 business days of receipt, minus shipping charges. Please note that it may take up to an additional 10 days for the refund to show up on your account statement, depending on your credit issuer's processing time. We reserve the right to refuse any return that does not comply with the conditions stated above.
